The services we provide in the Corporate Law area include:

  • Corporate transactions and deals including mergers and acquisitions, takeovers, private equity and venture capital and joint ventures;
  • Initial public offerings, reverse takeovers and other ASX listings, placements and rights issues;
  • General advice on all aspects of regulatory compliance under the Corporations Act, ASX listing rules, other relevant legislation and relevant regulator policy statements and practice requirements;
  • Submissions, applications and other dealings with ASIC, ASX, APRA, ATO and other relevant regulators;
  • Drafting and advising on disclosure documents including prospectuses, product disclosure statements, offer information statements and 'excluded' information memoranda;
  • Drafting and advising on constituent documents including constitutions, trust deeds, subscription, joint venture and shareholder agreements;
  • Advising on business structures, taxation and commercial issues concerning acquisitions and divestments; and
  • Conducting due diligence, advising on independent expert reports, preparing and advising on corporate governance policy and compliance plans.

Our experience in the Corporate Law area includes:

  • Acting for a major retirement village and aged care on the ASX float of its Property Trust. The float involved a capital raise of $100 million. At listing the Trust had a market capitalisation of approximately $553 million and gross assets of approximately $1.3 billion;
  • Acting for a listed funds management business on the establishment of its Property Fund, including the design of the fund, the constitution, product disclosure statement and other constituent documents;
  • Advising a large multinational energy generator and retailer on major documentation for capital raising, project finance and operational issues relating to the development and network connection of four power stations across three states; and
  • Acting for a telecommunications company in its initial public offering and ASX float.
